You agree with MSCI Inc. and its subsidiaries (collectively, "MSCI") that the basis on which you are entitled to access MSCI's web site ("Web Site") is set out below. These terms may be changed by MSCI from time to time. Your access to the Web Site will be deemed to constitute acceptance of these terms and conditions, including as they may be revised from time to time. Additional terms of use may also apply to certain portions of the Web Site.

The material on the Web Site is for informational purposes only, and is not an offer or recommendation to buy or sell or a solicitation of an offer to buy or sell any security or instrument or to participate in any particular trading strategy. Further, none of the material on the Web Site is intended to constitute investment advice or a recommendation to make (or refrain from making) any kind of investment decision and may not be relied on as such. Unless expressly included in any other agreement between MSCI and you, you agree that the requirements of the E-Commerce Directive (2000/31/EC) as implemented are excluded to the fullest extent permissible by law with respect to your access to and use of the Web Site.

You agree that all proprietary rights in the information contained on the Web Site are and shall remain the property of either MSCI or Morgan Stanley. REPRODUCTION, REDISTRIBUTION OR ANY OTHER FORM OF TRANSMISSION OF ANY INFORMATION CONTAINED ON THE WEB SITE WITHOUT MSCI'S PRIOR WRITTEN CONSENT IS STRICTLY PROHIBITED. THE DATA AND INFORMATION CONTAINED HEREIN MAY ONLY BE USED INTERNALLY IN ACCORDANCE WITH THESE TERMS OF USE. Without limiting the generality of the foregoing, the information and other MSCI intellectual property you access via the Web Site may not be used as a basis for any financial instruments or products (including, without limitation, passively managed funds and index-linked derivative securities), or used to verify or correct data in any other compilation of data or index, or used to create any other data or index (custom or otherwise), without MSCI's prior written permission. MSCI, Barra, MSCI Barra, EAFE, and all other marks and logos used on the Web Site (including the names of all MSCI indices and products) are the trademarks and service marks of MSCI or its affiliates.

Global Industry Classification Standard (GICS), GICS and GICS Direct are service and/or trademarks of MSCI and Standard and Poor's.

You acknowledge that MSCI uses certain technology on the Web Site to collect information from visitors. MSCI uses this technology to collect information about how our visitors use the Web Site and services, including information relating to the frequency of visits to the Web Site, average length of visits, and which pages are viewed during a visit. This information is used to improve the site content and performance.

The use by you of MSCI's password-protected application service products, including BarraOne and Barra Credit, are governed by separate privacy and security policies that may be accessed within the "Help" menu of such products. By using those products you are subject to those additional privacy policies and securities policies and you agree to be bound by those terms and conditions. Specifically, you agree that MSCI may gather usage statistics and usage data from your use of BarraOne and Barra Credit, to evaluate your use of these products, to improve the MSCI products and services, and to ensure that you are complying with the terms of the applicable agreements between you and MSCI. The statistics and data collected may or may not be aggregated. These statistics contain no personal information and will not be used to gather personal information.

In addition, for users of non-public areas of the Web Site, "session cookies" allow us to recognize your computer each time you return to the Web Site, verify your registration or password information during a particular session so that you do not have to input your password multiple times as you navigate the site and suggest products or services that may interest you. Most web browsers allow you to modify your preferences to be notified when a cookie is set, or to reject all cookies. If you choose to reject our cookies, some areas of the Web Site may not function properly or may not be accessible. The technology we use cannot obtain information from your hard drive or pass on a computer virus.

When you contact us, provide us with your personal information or use our electronic services you consent to MSCI processing the information, including but not limited to your name, company name, contact information, job role and preference information. This information is used by us and/or our agents to support your interaction with us, to deliver our services and to contact you again about other services and products we offer. By providing this personal information you consent to MSCI using this personal information for direct marketing purposes and transferring this personal information to MSCI offices outside your country of residence.

The laws of the State of New York shall apply to the Web Site and your use thereof, without regard to its conflicts of laws principles, and the state and federal courts located in the State of New York in the Borough of Manhattan shall be deemed to be the exclusive courts of competent jurisdiction for all matters arising out of or relating to your use of the Web Site and the information contained therein.
